Verto award terms and conditions

1. Organizer

The Award is organized and administered by Verto FX Ltd, an entity incorporated and existing under the laws of England and Wales under number 10973066, ("Organizer"), a global payments solution provider. The Organizer will evaluate the Applicants (as defined below) based on the criteria defined herein and the winners will be granted the awards described in these terms. 

2. Eligibility

2.1 The Award is open to applicants who meet the following criteria:

  1. Companies that have been operating for no more than two (2) years. 

  2. Companies that operate in at least one of the below listed eligible countries: 

  • South Africa

  • Nigeria

  • Kenya

2.2. Companies that can demonstrate:

  • Multiple market operations

  • Connections with international suppliers

  • A strong market impact, innovation, and business growth potential

2.3. Employees, officers, and directors of the Organizer and their immediate family members or anyone involved in judging the applications are not eligible to participate.

3. Application Process

3.1 Applications must be submitted online through the official application form available on vertofx.com.

3.2 The application period begins on February 6, 2025, and closes on 12 September 2025. Late submissions will not be accepted.

3.3 Applicants must provide accurate and truthful information. Misrepresentation or fraudulent entries will result in disqualification.

4. Selection Criteria

The winners will be selected based on the following criteria:

  • Innovation and uniqueness of the business model

  • Market impact and scalability

  • Demonstrated connections with international suppliers

  • Business growth potential

5. Awards

The following prizes will be awarded:

  • Winner: USD 10,000

  • Runner-up: USD 3,000

  • Second Runner-up: USD 2,000

5.1 The awards will be disbursed in USD or an equivalent local currency at the Organizer’s discretion, and any taxes or fees due shall be deducted and borne by the awarded Applicants. 

5.2 The Applicants hereby agree and undertake to use the Awards, should they receive one, to support the startup’s global expansion and streamline cross-border operations. The breach of this provision shall allow the Organizer to claim back the prizes awarded. 

6. Winner Announcement

6.1 The results will be announced on November 27th, 2025

6.2 The winners will be notified via the contact information provided during the application process.

6.3 If a winner does not respond within fourteen (14) days of notification, the Organizer reserves the right to select an alternative winner.

7. Obligations of the Winners

7.1 All applicants hereby agree and undertake to, should they receive an award:

  • Participate in reasonable promotional activities related to the Award, including interviews, media coverage, and event participation.

  • Provide feedback on the impact of the Award on their business if requested by the Organizer.

8. Intellectual Property

8.1. All intellectual property rights in the business ideas or models submitted remain with the respective Applicants.

8.2. Applicants hereby grant the Organizer a non-exclusive, royalty-free license to use submitted information for promotional and marketing purposes related to the Award.

9. Disqualification

The Organizer reserves the right to disqualify any Applicant for violating these terms and conditions, providing false information, or engaging in fraudulent activities.

10. Data Protection

10.1. By applying for the Award, Applicants consent to the collection, processing, and use of their personal data in accordance with Verto’s Privacy Policy.

10.2 Personal data will be used solely for the purposes of administering the Award and related promotional activities.

11. Limitation of Liability

The Organizer shall not be liable for any direct, indirect, or consequential damages arising out of participation in the Award, including but not limited to technical failures, data loss, or unauthorized access.

12. Governing Law and Dispute Resolution

12.1. These terms and conditions are governed by the laws of England and Wales.

12.2. Any disputes arising out of or in connection with the Award shall be resolved amicably. If no resolution is reached, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

13. Amendments and Cancellation

The Organizer reserves the right to amend these terms and conditions or cancel the Award at its discretion without prior notice.
